An AmLaw Top 50 law firm is looking to add a Corporate Paralegal to their Technology & Startups team. In this role, you would provide essential legal services to emerging tech companies. This is a great opportunity for talented legal professionals to get involved with some of the most dynamic and innovative companies on the market.
Responsibilities:
- Set up the company name, create formation documents, and manage the execution and filing in the appropriate jurisdictions.
- Prepare forms for entity qualification or registration in foreign jurisdictions.
- Support the drafting of employment agreements, purchase and option contracts, stock plans, and other relevant documents.
- Assist with the liquidation and dissolution processes.
Essential qualifications:
- Bachelor's degree.
- 5+ years of experience as a corporate paralegal.
- Experience working for a law firm.
- Expertise in the procedures, terminology, and documents involved in the formation of corporate entities.
- Familiarity with California Corporations Code, New York Business Corporate Law, and Delaware General Corporate Law.
- ABA-approved paralegal certificate (preferred).
Salary: up to $160k base.

Senior Litigation Paralegal



Our client, a leading National Law Firm, is actively seeking a Senior Litigation Paralegal to support their growing practice in either NYC, S.F., Philadelphia or Washington D.C.
The role is primarily remote and can be based in any of the above locations. The only expectation for in office presence would be as required for trial preparation or other related responsibilities.
This role would involve using Westlaw and similar software for legal research, e-filing briefs, managing internal pleadings, preparing depositions, and cite-checking among other responsibilities as needed to support the firm.
Location: Philadelphia, NYC, D.C. or S.F.
Term: Full Time/Direct Hire
Compensation: $90K - $120K
Candidates MUST HAVE recent Law Firm experience and e-filing in State and Federal Courts.
Desired Qualifications:
- Bachelor's Degree in a related legal discipline and a Paralegal Certificate preferred.
- 5+ years of relevant experience as a Paralegal at a law firm.
- Experience in all phases of Litigation from inception to conclusion.
- Ability to analyze complex legal documents and meet strict deadlines
